Apart from this, when you book a consultation or service, you are doing so with a third-party partner. We may redirect you to these partners or provide your information to them to facilitate your booking. The terms, conditions, and liability for such transactions are governed solely by the respective third-party partner.

3.5 Modifications to the Service

PropertyGPT reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) at any time without prior notice. We will not be liable for any modification, suspension, or discontinuance of the Service.

4. Promotions and Special Offers

4.1 Eligibility

Any promotional offers, including cash back or reward programs, are subject to eligibility requirements. Such offers are available only to users who meet specific criteria (e.g., first-time users, minimum number of report generations) as detailed in the promotion terms.

4.2 Offer Details

Promotional rewards, such as virtual gift cards, will be sent to the email address associated with your PropertyGPT account, subject to the successful completion of the qualifying service. If the user cancels the service or fails to meet the criteria, the reward will not be issued.

4.3 Restrictions and Modifications

Promotional offers are limited to one per user and cannot be combined with other discounts unless expressly stated. PropertyGPT reserves the right to modify or terminate promotional offers at any time without prior notice.

5. Conditions of Access and Use

5.1 User Conduct

You are solely responsible for all content you upload, transmit, or otherwise make available through the Service (“User Content”). You agree not to use the Service to:

5.2.4 Copyright Complaints

If you believe that your copyrighted work has been used in a way that constitutes infringement, please notify our Copyright Agent at copyright@propertygpt.com. Your notice must comply with applicable copyright laws, including providing all required information as specified under the DMCA or similar regulations.

5.3 Third-Party Services and Websites

Our Service may include links or access to third-party services and websites. PropertyGPT is not responsible for the content, policies, or practices of these third parties. Use of any third-party service is subject to the terms and policies of that service.

6. Indemnification

You agree to indemnify and hold harmless PropertyGPT Tech Ltd, its affiliates, and their respective officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your breach of these Terms. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. PROPERTYGPT MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPERTYGPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO PROPERTYGPT IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR 1000 AED (WHICHEVER IS GREATER), SUBJECT TO THE LIMITATIONS SET FORTH ABOVE.

9. Dispute Resolution by Binding Arbitration

9.1 Agreement to Arbitrate

You agree that any disputes or claims arising out of or related to these Terms or your use of the Service shall be resolved through final and binding arbitration, rather than in court, except that you may pursue claims in small claims court if applicable.

9.2 Prohibition of Class and Representative Actions

You agree that any arbitration shall be conducted solely on an individual basis, and neither you nor PropertyGPT may participate in or bring any class or representative action.

9.3 Pre-Arbitration Dispute Resolution

If the dispute is not resolved within sixty (60) days of such notice, either party may commence arbitration.

9.4 Arbitration Procedures and Fees

Arbitration shall be conducted in accordance with the rules of a recognized arbitration body agreed upon by both parties (for example, the Dubai International Arbitration Centre), and the arbitration shall be held in a mutually convenient location in the UAE. The arbitration fees shall be shared as determined by the arbitrator, subject to any hardship considerations. The arbitrator’s decision shall be final and binding.

9.5 Confidentiality and Severability

All arbitration proceedings and any resulting decision shall remain confidential. If any provision of this Arbitration Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

9.6 Future Changes

Should PropertyGPT make any changes to this Arbitration Agreement while you are a user of the Service, you may reject such changes by providing written notice within thirty (30) calendar days of the change.

10. Termination

PropertyGPT reserves the right to suspend or terminate your account or access to the Service at any time, for any reason, including without limitation if you violate these Terms. Upon termination, your right to use the Service will immediately cease, and PropertyGPT may delete your account and all associated data without notice. You agree that PropertyGPT shall not be liable for any termination of your access to the Service.

11. User Disputes

You are solely responsible for any interactions with other users through the Service. PropertyGPT is not liable for any disputes or issues arising from such interactions. However, we reserve the right to intervene or take action if necessary.

12. General Provisions

12.1 Entire Agreement

These Terms, along with any documents incorporated herein by reference, constitute the entire agreement between you and PropertyGPT regarding your use of the Service and supersede any prior agreements.

12.2 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes not subject to arbitration shall be resolved exclusively in the courts located in Dubai in the UAE.

12.3 Assignment

You may not assign or transfer these Terms without our prior written consent. PropertyGPT may assign or transfer these Terms without restriction.

12.4 Notices

Notices to you may be sent via email or regular mail. PropertyGPT may also post notices on the Service. You agree that any notice or communication sent electronically will be deemed effective.

12.5 Amendments

These Terms may be amended from time to time. Your continued use of the Service after the posting of changes constitutes acceptance of the new Terms.
